Clarity provides traditional Sell Side deal brokerage services, working on a small retainer basis with a success fee paid by the Seller when a transaction is completed.

  1. Market Research Practice


    Clarity has provided custom market research services since 1994. Our focus is manufacturing and distribution - including industrial, technology and life science markets.

    Clarity studies can be segmented into two application groups; planning support and acquisition due diligence. We are a trusted information source to Diversified Industrial clients such as Dover, Eaton, Emerson, and Rockwell – along with many Private Equity Groups.

    Our market research expertise is a key asset as we endeavor to find buyers and create an auction environment for our listings. We apply market research principles to the segmentation of buyer types and the identification of prospective buyers according to this segmentation. Our aim is to develop strategic buyers that can justify a premium for the acquisition based on certain synergies.

  2. Offering Memorandum Development


    Clarity develops outstanding Offering Memorandum, describing the investment opportunity. We include a section on buyer types according to the segmentation work described above. Our aim is to draw attention to the synergies, growth opportunities, and other factors that will bring buyers to the table.

  3. Clarity Network


    Clarity maintains a network of corporate buyers, PEGs, high net worth individuals, and M&A intermediaries. Clarity is also an affiliate of both Business Broker Network (BBN) and the International Business Brokers Association (IBBA). We enlist our network to market the opportunity and expand the pool of buyers.

  4. Buyer Qualification


    We understand the pitfalls of pursuing unqualified prospects, in terms of wasted effort and potential confidentiality lapses. All potential buyers are screened for suitability and bound by Non Disclosure Agreement (NDA) before they receive the Offering Memorandum.

  5. Due Diligence Facilitation


    Clarity has an intimate understanding of the Buy Side acquisition due diligence process, having supported dozens of completed and scuttled deals. We understand that no deal is done until the ink is dry. When we work with Sellers, our fiduciary obligations are of course tied to the Seller, however, we also put ourselves in the Buyer’s shoes. By recognizing both sides of the transaction equation, we can anticipate likely due diligence issues and coach the Seller on how to handle them.

  6. Capital Sourcing


    One of the key differences between a business broker and an M&A firm is their relative orientation toward capital. Clarity goes beyond the vast majority of business brokers by understanding the capital markets and maintaining advisory capabilities for capital requirements. This can take many forms depending on the unique attributes of the deal. For example, the Seller may prefer to maintain a majority position or the Buyer may lack sufficient cash and collateral to secure traditional bank financing. Clarity can serve as an intermediary, leveraging our financial engineering skills and network to develop creative solutions to capital raising challenges.
